Due Diligence

Do you want to know exactly?

Due diligence refers to the careful analysis and evaluation of a company or particular areas within a company. The goal of due diligence is identifying the strengths and weaknesses, and to recognize the risks. It is usually performed when a company will be sold or bought either partially or in its entirety. The implementation of the due diligence includes the examination of business records and questioning the management. It is usually carried out in several phases, depending on how serious the purchase intention of the buyer is. The purchase price is then based on the results of the evaluation. We distinguish the between the following types of due diligence:

  • Business Due Diligence: Verification of assets and liabilities of the company, review and plausibility of the business planning etc.
  • Legal Due Diligence: Examination of contractual relations and liability holdings etc.
  • Tax Due Diligence: Checking of possible tax risks (i.e. supplementary tax payments) and developing options for tax strategies
  • Technical Due Diligence: Examination of the technical equipment and determining the value of existing patents, etc.
  • Environmental Due Diligence: Review of existing environmental risks, if necessary
  • Market-oriented Due Diligence: Carrying out of market analysis
  • Personnel Due Diligence: Examination of the staff
